Terms and Conditions

These are the terms and conditions of a general License Agreement between Alchemy Carta Ltd and a private individual, for the use of the Property in online games and 'virtual worlds', including online communities such as Second Life.

It is hereby declared that Alchemy Carta Ltd., (the Licensor), of Hazel Drive, Leicester, LE3 2JE, England, is the original creator of, and the sole legal and copyright owner of the 'Property' (defined in 'Definitions', below), subject to this agreement.

Definitions - for the purpose of this agreement:
1. The term 'Property', (short for Intellectual Property), shall mean:
a. Any original 'Alchemy' design, illustration, image, (or part thereof), and its title, or any recognisable variation of same.
b. Any unique and/or specific 'Alchemy Gothic' character and/or their unique likeness or characteristics and/or their associated name, or any recognisable variation of same.
c. Any 'Alchemy Gothic' concept, storyline or scenario, including any recognisable variation, edition or edited extract from the same original.
d. Any 'Alchemy' brand name, trademark or logo, or any recognisable variation of them.

2. The term 'Licensee' shall mean a registered individual to whom this License agreement applies and who has registered as such online, at www.alchemygothic.com. Once registered, the individual has acknowledged and accepted the terms of this agreement and is therefore validated and becomes a Private Use Licensee.

3. The term 'alien' shall mean any artist, author, company, agent, copyright holder, etc, other than Alchemy.

Terms of the License - The Licensee agrees that:

1. They will use the Property only for their own personal use and that this License does not allow them to sub-license or grant any such use to any third party.

2. The Licensee shall not use the Property in any way which claims to associate itself with, or purports to represent in any way, the Licensor, (Alchemy Carta Ltd), or any of its commercial Licensees, worldwide.

3. The Property shall not be used in any way that portrays it as being or representing, or positively associating itself with anything, (a character, organisation, attitude, belief, etc), overtly 'evil', (by any normal, reasonable and universally accepted definitions).

4. The Property shall not be misrepresented by, or confused with that of any alien and, none of Alchemy's brands, titles or logos etc must ever be attributed to an alien's artwork, characters or other intellectual property.

5. The Property shall not be used in any way that is likely to cause offence to any individual, corporation, organisation or sect, (religious or secular), as defined by accepted universal standards.

6. The Licensee shall not be held liable or responsible for any use made of its Property by the Licensee.

7. The Property shall not intentionally be exploited in any way commercially for any financial gain, unless specific, prior written approval has already been granted. However, in the event of any such unforeseen financial gains being made, (see 8., below), the activity will be declared to the Licensor for retrospective, written approval.

8. In the event of any of the Property being involved to any degree, in any virtual activities which result, individually or accumulatively, in any actual financial gain to the Licensee (or any of their gaming associates) totalling over the value of £100.00 sterling (or its equivalent), this will be declared to the Licensor and a 10% royalty fee paid. In normal circumstances, written approval will then be granted to the Licensee for such activity to continue.

9. If, in any unlikely event, it is requested by the Licensor, either by email or in writing, the Licensee will agree to cease all use of the Property immediately and without notice, at any time and without further explanation. If the applicant agrees to the terms set out here, (see Definitions 2., above), and registers as such at www.alchemygothic.com, then a License of indefinite term will be granted to the prospective Licensee for use of the Property, at (other than in the case of 7., above) no cost.
